noddyy Platform – Unified Terms of Use & Service Agreement

Effective Date: 15th May 2026

These Terms of Use and Service Agreement (“Terms”, “Agreement”) govern the access to, registration on, participation in, and use of the noddyy technology platform, including the noddyy mobile application, website, APIs, payment systems, communication systems, support systems, and all related services (collectively, the “Platform”) operated by Lohas One Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office in Hyderabad, Telangana, India (“Company”, “noddyy”, “we”, “us”, or “our”). These Terms constitute a legally binding and enforceable electronic contract between the Company and every person who accesses or uses the Platform, including Users, Helpers, visitors, browsers, agents, representatives, or any other person interacting with the Platform in any manner. By accessing, downloading, browsing, registering, booking tasks, accepting tasks, making payments, receiving payouts, uploading content, communicating through the Platform, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, the Privacy Policy, cancellation policies, token policies, safety guidelines, promotional policies, and all supplemental terms issued by the Company from time to time. If you do not agree with these Terms, you must immediately discontinue use of the Platform. For ease of reference, the Company may publish translations of these Terms in languages other than English. In the event of any conflict or inconsistency between the English version and any translated version, the English version shall prevail.

1. Definitions

For the purposes of these Terms: • “Platform” means the noddyy application, website, backend systems, communication systems, APIs, software, payment systems, support systems, and related infrastructure. • “User” means any person requesting, booking, or attempting to obtain services through the Platform. • “Helper” means any independent third-party individual offering or attempting to offer services through the Platform. • “Task” means any lawful assistance, errand, labour support, transportation support, delivery support, on-ground support, activity, or service requested through the Platform. • “Booking” means a confirmed arrangement between a User and a Helper through the Platform. • “Tokens” means digital platform credits, lead credits, booking credits, acceptance credits, promotional credits, or any virtual units used within the Platform ecosystem. • “Content” includes audio recordings, text, messages, photographs, videos, documents, reviews, ratings, profile data, task descriptions, and all other information uploaded or transmitted through the Platform.

2. Nature of Platform and Intermediary Status

(a) The Platform is a technology-enabled marketplace and intermediary platform that facilitates connections between Users and independent Helpers for the purpose of enabling lawful Tasks, errands, assistance requests, labour support, transportation support, delivery support, and related activities. The Company only provides technological infrastructure, communication systems, payment facilitation systems, and operational support tools that enable Users and Helpers to interact with each other. (b) The Company does not directly provide physical services, labour services, transportation services, home services, delivery services, or task execution services. All services available through the Platform are independently offered and performed by Helpers acting in their individual capacity. (c) Helpers are independent third-party service providers and shall not, under any circumstances, be construed as employees, agents, contractors, representatives, franchisees, partners, joint venture participants, or workers of the Company. Nothing contained in these Terms shall be interpreted as creating any employment, agency, fiduciary, partnership, labour, or franchise relationship between the Company and any Helper. (d) The Company does not supervise, control, direct, monitor, manage, or dictate the manner, method, timing, sequence, quality, legality, or execution of any Task performed through the Platform. Helpers retain sole discretion and control over how services are performed, subject to compliance with applicable laws and Platform policies. (e) For avoidance of doubt, any agreement relating to the performance of services exists solely between the User and the Helper. The Company merely facilitates technological interaction between such parties and shall not be construed as the provider, guarantor, employer, or executor of services. (f) The Company does not guarantee service quality, outcomes, timelines, Helper availability, uninterrupted service, behavioural standards, legality of actions, or suitability of Helpers for any particular purpose. Users engage Helpers entirely at their own discretion and risk.

3. Eligibility and Registration

(a) Persons accessing or using the Platform must be at least 18 years of age, possess legal capacity to enter into binding contracts under applicable law, provide accurate and complete information, and comply with all applicable laws, regulations, and governmental requirements. (b) The Company may require Users and Helpers to furnish information and documentation including, without limitation, Aadhaar details, PAN details, address proof, driving licence, vehicle documents, police verification documents, GST details, bank account details, business registrations, selfies, or facial verification records for operational, compliance, fraud prevention, and verification purposes. (c) The Company reserves the right, at its sole discretion and without assigning reasons, to reject applications, suspend registrations, request additional documents, conduct verification checks, impose onboarding conditions, or revoke access to the Platform. (d) The Company may conduct background verification checks through third-party agencies on a commercially reasonable basis. Such checks shall not be interpreted as certification, endorsement, guarantee, warranty, or representation regarding the character, trustworthiness, competence, criminal history completeness, mental fitness, legality of actions, or future conduct of any User or Helper. (e) Users and Helpers acknowledge that participation on the Platform is contingent upon continued compliance with these Terms, Platform policies, operational requirements, and applicable laws.

4. Account Responsibilities and Security

(a) Each User or Helper may operate only one registered account unless otherwise expressly permitted by the Company in writing. Users and Helpers shall maintain confidentiality of their login credentials and shall remain solely responsible and liable for all activities conducted through their accounts. (b) Users and Helpers shall not share accounts, transfer accounts, impersonate other individuals, use fake or misleading KYC documents, create duplicate accounts, permit unauthorized access, or otherwise misuse the Platform’s identity and authentication systems. (c) The Company reserves the right, at its sole discretion, to suspend, restrict, investigate, revoke, or terminate accounts suspected of fraudulent activity, identity manipulation, account sharing, policy violations, operational abuse, suspicious conduct, or security risks. (d) The Company shall not be liable for unauthorized access arising due to negligence, credential misuse, device compromise, or failure by Users or Helpers to maintain adequate security precautions.

5. Independent Contractor Relationship

(a) Helpers operate as independent contractors and retain sole discretion and control over the manner and method of performance of Tasks. Helpers may determine their schedules, working hours, operational methods, service preferences, and whether to accept or reject any Task. (b) Helpers may engage with competing platforms, independent customers, or other commercial activities and shall not be subject to exclusivity obligations unless separately agreed in writing. (c) Helpers shall be solely responsible for payment of taxes, regulatory registrations, licences, permits, insurance coverage, labour compliance, statutory obligations, equipment costs, fuel costs, vehicle maintenance, operational expenses, and all other obligations arising from their activities. (d) Nothing contained in these Terms shall be interpreted as guaranteeing minimum income, fixed work allocation, continued engagement, incentives, employment benefits, or business continuity. (e) Helpers shall not be entitled to provident fund, gratuity, employee insurance, minimum wages, paid leave, workers compensation, or any other employee-related benefits.

6. Tokens, Credits and Platform Value Systems

(a) The Company may require Helpers to maintain Tokens, credits, subscriptions, prepaid balances, or other digital value systems for access to certain Platform features or operational functionalities. (b) Tokens may be used for accepting Tasks, obtaining lead visibility, accessing promotional campaigns, subscriptions, enhanced visibility systems, premium placement, operational tools, or other features introduced by the Company from time to time. (c) Tokens are non-transferable, non-refundable except where required by applicable law, incapable of redemption for cash, and shall not constitute stored monetary value, investment instruments, securities, deposits, or banking products. (d) The Company reserves the right to deduct Tokens or credits in connection with task acceptance, cancellations, fraud investigations, disputes, policy violations, operational penalties, promotional misuse, platform abuse, or chargeback recovery. (e) Promotional Tokens or free credits may be modified, withdrawn, suspended, cancelled, or expired at the Company’s sole discretion without liability. (f) The Company reserves the unilateral right to revise token pricing, deduction structures, monetization systems, visibility systems, subscriptions, commissions, lead allocation systems, or operational models at any time.

7. Bookings, Matching and Platform Systems

(a) Users may create Tasks through supported formats including audio recordings, text descriptions, photographs, documents, voice instructions, or any other formats enabled by the Platform. (b) Helpers may accept or reject Tasks based on their independent discretion, availability, operational preferences, or other considerations. (c) The Platform may use AI systems, algorithmic allocation systems, automated ranking systems, behavioural scoring systems, geo-location systems, machine learning systems, or matching engines for operational efficiency and service optimization. (d) The Company does not guarantee matching accuracy, uninterrupted availability, equal visibility, algorithm neutrality, booking continuity, or frequency of Task allocation. (e) Any earning projections, promotional campaigns, estimated business opportunities, advertisements, or visibility claims are illustrative in nature and shall not constitute guarantees, commitments, or promises.

8. Audio Recording and Communication Consent

(a) The Platform may permit audio-based task booking, communication, operational coordination, and support interactions. (b) By uploading, transmitting, recording, or sharing audio recordings or communications through the Platform, Users and Helpers expressly consent to storage, automated processing, AI analysis, sharing with relevant parties, dispute resolution usage, fraud investigation usage, customer support usage, quality monitoring, operational analysis, and compliance-related usage. (c) Users and Helpers consent to receive SMS communications, WhatsApp communications, push notifications, operational calls, promotional communications, automated communications, and service-related messages subject to applicable law. (d) Users and Helpers shall not upload or transmit Content that is illegal, defamatory, abusive, threatening, sexually explicit, misleading, fraudulent, infringing, or otherwise unlawful.

9. Pricing, Fees and Payments

(a) The Company may facilitate collection, processing, settlement, transfer, reconciliation, or distribution of payments between Users and Helpers through third-party financial infrastructure. (b) Applicable charges may include convenience fees, platform fees, surge pricing, lead fees, cancellation charges, subscriptions, commissions, taxes, operational charges, promotional deductions, or other charges introduced by the Company from time to time. (c) The Company reserves the right to revise pricing structures, commissions, fee models, deductions, subscriptions, operational charges, and monetization systems at its sole discretion. (d) The Company shall not be liable for payment failures, settlement delays, reversals, transaction failures, banking issues, UPI issues, telecom failures, internet outages, or disruptions caused by third-party service providers.

10. Wallet Holds, Payment Recovery and Fraud Prevention

(a) The Company may temporarily hold, freeze, restrict, reverse, delay, or suspend payouts, balances, Tokens, or settlements in connection with disputes, suspicious activity, chargebacks, fraud investigations, legal notices, policy violations, operational risks, or regulatory requests. (b) If payments are reversed, refunded, disputed, or charged back by Users, banks, financial institutions, or payment gateways, the Company reserves the right to recover corresponding amounts from wallet balances, future payouts, Token balances, linked accounts, or payment instruments. (c) The Company may cooperate with law enforcement authorities, regulators, banks, financial institutions, or payment partners in connection with fraud investigations or compliance obligations.

11. User Responsibilities

(a) Users agree to provide accurate Task information, maintain lawful conduct, ensure safe environments, cooperate reasonably with Helpers, and comply with all applicable laws. (b) Users shall not harass Helpers, demand illegal services, force unsafe activities, threaten ratings manipulation, discriminate against Helpers, misuse Platform systems, or engage in abusive conduct. (c) Users shall remain solely responsible for consequences arising from inaccurate descriptions, unlawful requests, unsafe environments, misuse of the Platform, or non-compliance with applicable laws.

12. Helper Obligations and Conduct Standards

(a) Helpers agree to behave professionally, comply with applicable laws, perform accepted Tasks responsibly, maintain required licences and permits, and comply with operational instructions, behavioural guidelines, quality standards, and category-specific rules issued by the Company. (b) Helpers shall not share accounts, impersonate others, subcontract Tasks without authorization, use unauthorized substitutes, engage in misconduct, or perform illegal activities. (c) Helpers remain solely responsible for quality of work, taxes, permits, equipment, vehicle compliance, insurance, regulatory obligations, and personal conduct. (d) The Company reserves the right to introduce retraining requirements, quality standards, performance systems, behavioural controls, or operational compliance measures from time to time.

13. Unsafe Tasks and Safety Exit Rights

(a) Helpers may refuse, pause, or exit Tasks involving violence, intoxication, illegal activity, unsafe environments, hazardous materials, abusive conduct, threats, sexual misconduct, or other safety concerns. (b) Helpers may leave unsafe situations immediately without liability or operational penalty where reasonably necessary for personal safety. (c) The Company shall not be responsible for on-ground supervision, safety management, or real-time monitoring of physical interactions.

14. Prohibited Activities

Users and Helpers shall not engage in illegal activities, trafficking, narcotics transport, weapons transport, financial scams, money laundering, harassment, hate speech, platform manipulation, fake bookings, fake reviews, fraudulent refunds, identity fraud, cyber abuse, unauthorized surveillance, or any activities prohibited under applicable law. The Company reserves the right to suspend, restrict, investigate, or permanently ban accounts involved in prohibited activities.

15. Limitation of Liability and Disclaimers

(a) The Platform and all related services are provided on an “as is” and “as available” basis without warranties of any kind. (b) To the maximum extent permitted by law, the Company disclaims all warranties relating to service quality, outcomes, timelines, uninterrupted availability, suitability, merchantability, fitness for purpose, or Helper conduct. (c) The Company shall not be liable for property damage, theft, assault, injury, negligence, death, emotional distress, indirect losses, consequential damages, business interruption, reputational harm, or disputes arising between Users and Helpers. (d) The Company’s aggregate liability in relation to any claim shall not exceed the amount paid for the specific Booking giving rise to such claim.

16. Indemnification

Users and Helpers agree to indemnify and hold harmless the Company, its directors, officers, employees, affiliates, investors, agents, and partners from claims, proceedings, penalties, liabilities, damages, losses, costs, or expenses arising out of misuse of the Platform, illegal activities, negligence, disputes, regulatory violations, tax liabilities, personal injury claims, intellectual property violations, or non-compliance with these Terms.

17. Investigations and Monitoring Rights

(a) The Company reserves the right to investigate suspicious, unlawful, fraudulent, unsafe, or policy-violating activities. (b) For operational, legal, fraud prevention, compliance, safety, or analytical purposes, the Company may review chats, audio recordings, GPS logs, device identifiers, IP logs, uploaded media, behavioural analytics, payment trails, or communication records. (c) The Company may disclose information to regulators, courts, law enforcement authorities, banks, financial institutions, or governmental authorities where required or reasonably necessary.

18. Ratings, Reviews and Visibility Systems

(a) Users may provide ratings and reviews regarding Helpers and services. (b) The Company reserves the right to remove fake reviews, moderate reviews, modify rankings, restrict visibility, prioritize listings, suspend low-performing accounts, or implement visibility systems based on internal operational parameters. (c) Visibility on the Platform may depend upon ratings, acceptance behaviour, engagement, location, subscriptions, quality metrics, operational reliability, and other factors determined by the Company.

19. Intellectual Property Rights

(a) All intellectual property rights relating to the Platform, including software, trademarks, logos, systems, designs, databases, content, branding, and operational infrastructure, belong exclusively to the Company or its licensors. (b) Users and Helpers shall not copy, reproduce, reverse engineer, scrape, modify, distribute, commercially exploit, or create derivative works from the Platform without prior written consent.

20. Marketing and Content Usage Rights

Users and Helpers grant the Company a worldwide, royalty-free, transferable, non-exclusive right to use reviews, ratings, testimonials, profile images, uploaded content, promotional material, booking screenshots, and operational content for advertising, branding, publicity, operational, analytical, and marketing purposes.

21. Privacy and Data Usage

(a) The Company may collect identity information, payment information, communication records, location data, behavioural analytics, device information, usage information, operational information, and technical logs. (b) Such data may be used for operations, fraud prevention, AI systems, analytics, legal compliance, customer support, service improvement, operational optimization, and enforcement of Platform policies. (c) Data handling practices shall additionally be governed by the Privacy Policy.

22. Technical Failures and Platform Availability

(a) The Company does not guarantee uninterrupted, secure, or error-free operation of the Platform. (b) The Company shall not be liable for disruptions caused by app crashes, software bugs, internet outages, telecom failures, GPS failures, payment API failures, cyber incidents, infrastructure failures, or server downtime. (c) The Company reserves the right to modify, suspend, discontinue, restrict, or alter Platform functionality at any time without liability.

23. Suspension and Termination

(a) The Company reserves the right, at its sole discretion and without prior notice, to suspend, restrict, revoke, terminate, or investigate access to the Platform. (b) Grounds for suspension or termination may include fraud, policy violations, unsafe behaviour, illegal activities, fake documentation, repeated cancellations, account misuse, operational abuse, or suspicious activity. (c) The Company’s decision regarding suspension, restriction, or termination shall be final and binding.

24. Refunds and Cancellations

(a) Cancellation charges may apply after Helper assignment, arrival, operational commencement, or resource allocation. (b) Refund eligibility shall be determined solely by the Company based upon operational, fraud prevention, compliance, and business considerations. (c) Promotional benefits, incentives, or credits may be reversed upon refunds, cancellations, disputes, or reversals. (d) The Company reserves the right to deny refunds in cases involving completed services, policy violations, abuse, suspicious claims, or misuse of promotional systems.

25. Taxes and Regulatory Compliance

(a) Helpers shall be solely responsible for GST obligations, income tax obligations, invoicing requirements, statutory filings, permits, licences, and regulatory compliance arising from their activities. (b) The Company operates solely as a technology intermediary and shall not be responsible for Helper tax liabilities, reporting obligations, or statutory compliance failures.

26. Force Majeure

The Company shall not be liable for delays, disruptions, or failures arising due to events beyond reasonable control including natural disasters, pandemics, riots, strikes, internet failures, cyber attacks, governmental actions, infrastructure failures, telecom failures, or technical disruptions.

27. Arbitration and Dispute Resolution

(a) Any disputes arising in connection with these Terms shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996. (b) The seat and venue of arbitration shall be Hyderabad, Telangana. (c) Proceedings shall be conducted in English. (d) Users and Helpers agree to resolve disputes only in their individual capacity and waive rights to participate in class actions or representative proceedings.

28. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India and courts located in Hyderabad, Telangana shall have exclusive jurisdiction.

29. Survival

Clauses relating to indemnity, limitation of liability, arbitration, intellectual property, confidentiality, payment recovery, tax obligations, dispute resolution, investigations, and operational enforcement shall survive termination of these Terms.

30. Modifications

The Company reserves the right to modify these Terms, operational policies, monetization systems, safety guidelines, pricing systems, or supplemental rules at any time. Continued use of the Platform following such modifications shall constitute acceptance of revised Terms.

31. Entire Agreement

These Terms, together with the Privacy Policy, supplemental policies, operational guidelines, token rules, cancellation policies, and category-specific rules, constitute the complete agreement between the parties relating to use of the Platform.

32. Electronic Acceptance
